What is an NNN agreement?

  • Non-use: they do not use your designs or information for anyone else.
  • Non-circumvention: they do not go around you to sell your product or approach your customers.

It should be governed by Chinese law, written in Chinese and enforceable in a Chinese court, with clear damages, because that is where a dispute would need to be resolved.

  • Pay for moulds and tooling as a separate line item, with ownership stated in the contract.
  • Mark tooling with your company name and keep photos.
  • Agree that your custom version and packaging will not be sold to others.
  • Split components across suppliers for sensitive designs.
